1. About Give & Receive

Give & Receive operates as an agency for social good, enabling businesses (“Users”, “you”) to participate in a sustainable giving model that supports charities and not-for-profit organisations (“NFPs”) over time.

Funds contributed to Give & Receive are not donations. They are treated as marketing and community-engagement payments which become income of Give & Receive. Give & Receive then invests its own capital—funded in part by those payments—with the objective of generating returns from which portions may be distributed to nominated and selected NFPs.

2. Acceptance of Terms

By using our Platform, you confirm that you:
• Are at least 18 years of age (or the age of legal majority in your jurisdiction);
• Have authority to bind any entity on whose behalf you participate; and
• Have read and accepted these Terms and our Privacy Policy.

3. Services Overview

Give & Receive provides:
• A platform for businesses to engage in social-impact and marketing initiatives;
• Management, investment, and allocation of pooled capital;
• A recognition and visibility framework including badges and leaderboards;
• The ability to nominate preferred charities and NFPs for potential support.

All investment and distribution decisions remain at Give & Receive’s discretion.

4. Nature of Participation & No Trust Relationship

Payments are not donations, investments, or deposits. Users do not acquire ownership or entitlement in any funds or returns. Funds are not held on trust. This model is a commercial marketing arrangement and is not a managed investment scheme or financial product.

5. Registration and Accounts

You agree to provide accurate information, maintain security of your account details, and notify us of unauthorised access.

6. Payments

All payments are processed through approved payment gateways and are non-refundable except as required by law. Payments are not tax-deductible donations but may be claimable as marketing expenditure—please seek professional advice.

7. Investment & Distribution Model

All funds received form part of Give & Receive’s operational capital and may be invested. Returns may be distributed to NFPs, used to promote participating businesses, and reinvested.

Give & Receive may receive fees, commissions, or other remuneration from investment or partnership activities.

8. Charity and NFP Nominations

You may nominate preferred NFPs. While we aim to honour preferences, final decisions remain at our discretion.

8A. Privacy Firewall – Protection Against Unwanted Charity Contact

Give & Receive acts as a privacy firewall between participants and the NFPs that receive support. We do not share your business or personal details with nominated organisations unless explicitly authorised by you.

This means you will not be contacted, solicited, or marketed to by charities or NFPs as a result of your participation. Communications with charities are handled solely by Give & Receive on your behalf, protecting you from follow-up requests or fundraising pressure.

9. Annual Participation & Promotional Eligibility

To maintain active status and eligibility for ongoing promotional benefits (including leaderboard visibility and continued badge use), you must contribute again in each new financial year.

11A. Give & Receive Badge – Ownership & Conditions of Use

Participants may receive a “Give & Receive Verified Badge” (“Badge”) as recognition of their involvement. All rights in the Badge—including design, trademarks, and associated artwork—are owned exclusively by Give & Receive (AUST) Pty Ltd.

Permission to display or use the Badge is:
• Non-exclusive,
• Revocable at any time,
• Conditional on ongoing compliance with these Terms.

You may display the Badge on websites, printed materials, social media, or digital communications only while you remain an active participant.

To maintain continued permission to use the Badge, you must:
• Make a new contribution each financial year; and
• Not modify, misuse, misrepresent, or dilute the Badge or the Give & Receive brand.

If participation lapses or the Badge is misused, Give & Receive may require its immediate removal from all platforms and materials.

12. User Conduct

You must not use the Platform for unlawful, deceptive, or harmful activities.

13. Marketing Communications

By participating, you consent to receive updates and marketing communications. You may opt out at any time.

14. Future Value Disclaimer

Any statements about growing long-term impact are aspirational only and not guaranteed.

15. No Financial Services Licence

Give & Receive is not a financial services provider and does not hold an AFSL. Participation does not involve financial products or investment contracts.

16. Limitation of Liability

Liability is limited to the amount you have paid in the previous 12 months, to the extent permitted by law.

17. Indemnity

You indemnify Give & Receive for losses arising from misuse or breach of these Terms.

18. Termination

We may suspend or terminate access for breach or misuse.

19. Privacy

Your information is managed in accordance with our Privacy Policy.

20. Governing Law

These Terms are governed by the laws of Victoria, Australia.

21. Amendments

We may update these Terms at any time by posting the updated version online.

22. Fees & Commissions

Give & Receive may receive fees, commissions, referral payments, or profit shares from investment partners, marketing partners, or service providers. These funds support our operations and mission.
